HWM Group, a dedicated investor services and regulatory solutions provider to alternative and retail fund administrators, headquartered in Dublin, has acquired the assets of global financial services technology company KOGER, Inc. to create the world’s leading fund administration software solutions supplier.
Lovell Minnick Partners LLC, a private equity firm focused on investments in financial services, financial technology and related business services, funded the acquisition and has taken a majority stake in HWM Group as part of the deal.
This multi-jurisdictional transaction, undertaken by NovitasFTCL comprised of (i) identifying and agreeing terms with Lovell Minnick Partners to provide some liquidity to the existing HWM shareholders and to back the acquisition, and (ii) negotiating the acquisition of the Koger business.
NovitasFTCL Managing Partner John Gilligan served as exclusive advisor to HWM. A&L Goodbody, led by Darran Nangle (Partner, Corporate), served as legal counsel to HWM.
Shamus O’Donnell, Co-founder and CEO of HWM Group commented:
“HWM is delighted to be able to thank NovitasFTCL for the service, dedication and support to complete the combination of the HWM Group and Koger Inc businesses facilitated by the investment in the group by Lovell Minnick Partners. It is an overused expression to say ‘we could not have done it without them’, but in this particular case this was very much a reality. The transactions involved a high level of complexity and covered multiple jurisdictions, considerable numbers of interested parties and was completed against a backdrop of the pandemic, differing time zones and remote working over a number of months. The professionalism, skill, energy, sector knowledge and craftsmanship provided by NovitasFTCL under such challenging circumstances was truly second to none. HWM is extremely grateful to NovitasFTCL for the considerable part they played in making this exciting combination a reality.”
